SlopeDrive End-User License Agreement

Subject to this Agreement, SlopeDrivegrants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the term, for Customer’s internal business purposes. SlopeDrive keeps all rights not expressly granted.

Customer’s administrators invite Users and assign their roles. Customer is responsible for its Users’ activity and for keeping credentials secure. Each User must use their own account. You must provide accurate information and tell us promptly of any unauthorized use.

Customer owns the information it and its Users put into the Service (“Customer Content”). Customer grants SlopeDrivea limited license to host, process, and display Customer Content solely to provide and support the Service, as described in the Privacy Policy. We never sell Customer Content, and we do not use it to train AI models. Customer is responsible for the accuracy and legality of Customer Content and for having the rights and consents needed to store its clients’ information in the Service.

You will not, and will not allow others to:

• use the Service unlawfully or in violation of others’ rights;
• upload malicious code, or disrupt or attempt to gain unauthorized access to the Service or its data;
• copy, reverse engineer, resell, or sublicense the Service, or use it to build a competing product;
• bypass usage limits, permissions, or security controls.

We may suspend access to stop a violation or security threat, and will tell you when we reasonably can.

The Service offers optional integrations with third-party services, such as accounting, email, calendar, and material-supplier systems. Connecting is optional and is done by a Customer administrator, who confirms they have authority to authorize it. Third-party services are governed by their own terms and privacy policies, and SlopeDrive is not responsible for them or for changes they make.

Some features use AI to generate summaries, answers, or drafts. AI output may be incomplete or incorrect and should be reviewed before it is relied on. It is not legal, financial, tax, or engineering advice.

SlopeDrive provides tools to prepare estimates and contracts and to collect electronic signatures. SlopeDriveis a software provider and is not a party to Customer’s agreements with its clients. Customer is responsible for the content of its contracts and for complying with the laws that apply to its business.

Fees, if any, are as stated in the plan or order form Customer selects, billed in advance and non-refundable except as required by law. We will give at least 30 days’ notice before introducing or changing fees. Customer is responsible for applicable taxes.

Each party will protect the other’s non-public information with reasonable care and use it only for this Agreement, except as required by law. SlopeDrive maintains safeguards described in the Privacy Policy. Customer will notify us promptly of any suspected security incident involving its accounts.

The Service, including its software, design, and documentation, belongs to SlopeDrive and its licensors. Feedback you give us may be used without obligation to you.

This Agreement continues until terminated. Customer may stop using the Service and close its account at any time. Either party may terminate for the other’s material breach that is not cured within 30 days of notice, and SlopeDrive may suspend or terminate immediately for serious security or legal risk. After termination, Customer may export its Customer Content for 30 days, after which we will delete it as described in the Privacy Policy. Sections 3, 9, 10, and 12 through 15 survive termination.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SLOPEDRIVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DATA FROM THIRD PARTIES OR GENERATED BY THE SERVICE WILL BE ACCURATE.

TO THE FULLEST EXTENT PERMITTED BY LAW, SLOPEDRIVE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. SLOPEDRIVE’S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT CUSTOMER PAID IN THE 12 MONTHS BEFORE THE CLAIM, OR $100 IF NO FEES WERE PAID. These limits do not apply where the law does not allow them.

Customer will defend and indemnify SlopeDriveagainst third-party claims arising from Customer Content, Customer’s breach of this Agreement, or Customer’s dealings with its own clients, except to the extent caused by SlopeDrive’s breach of this Agreement.

• Changes.We may update this Agreement and will give at least 30 days’ notice of material changes. Continued use after that is acceptance.
• Assignment. Customer may not assign this Agreement without our consent. We may assign it in a merger, acquisition, or sale of assets.
• Entire agreement. This Agreement and the Privacy Policy are the entire agreement on this subject. If a signed order form conflicts with this Agreement, the order form controls.
• Severability and waiver. If a provision is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver.
• Notices. To SlopeDrive: privacy@slopedrive.com. To Customer: the email on its account.
